DreamPark SDK Use Agreement

This SDK Use Agreement (the “Agreement”) is entered into between Dream Park Immersive, Inc. (“DreamPark,” “we,” or “us”) and the individual or entity accepting these terms (“Developer,” “you,” or “your”). By submitting this application, downloading, installing, or otherwise using the DreamPark SDK, you agree to be bound by this Agreement.
1. License Grant
Subject to your continued compliance with this Agreement, DreamPark grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to use the DreamPark SDK (the “SDK”) solely to develop, test, and submit interactive experiences (“Titles”) intended for distribution on the DreamPark Platform. This license does not grant you ownership of the SDK or any DreamPark intellectual property. All rights not expressly granted are reserved by DreamPark.
2. Restrictions
You shall not, and shall not permit any third party to:
- Copy, modify, redistribute, sell, sublicense, lease, rent, or otherwise transfer the SDK or any portion thereof outside of Titles built for the DreamPark Platform;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any non-public components of the SDK, except where permitted by applicable law;
- Remove, obscure, or alter any proprietary notices, branding, or attributions contained in the SDK;
- Use the SDK to develop or distribute software that competes with the DreamPark Platform;
- Use the SDK in connection with any application, service, or content that is unlawful, infringing, harmful, harassing, defamatory, obscene, or otherwise objectionable; or
- Use the SDK in any manner not expressly authorized by DreamPark.
3. Intellectual Property
The SDK, including all source code, object code, documentation, sample assets, prefabs, and branding (the “DreamPark IP”), is the exclusive property of DreamPark and is protected by United States and international copyright, trademark, and other intellectual property laws. You retain ownership of the original creative content you produce in your Titles (your “Developer Content”), subject to the licenses granted to DreamPark herein for the purpose of distributing and operating your Titles on the Platform.
Any feedback, suggestions, or improvements you provide regarding the SDK or Platform are voluntary, non-confidential, and may be used by DreamPark without obligation or compensation.
4. Content Standards
You agree that your Developer Content and any Titles you submit will:
- Comply with all applicable laws, including export control and consumer protection laws;
- Not infringe any third party’s intellectual property, privacy, or publicity rights;
- Not contain malicious code, surveillance tooling, or undisclosed data collection;
- Be appropriate for a general location-based audience including minors who may visit DreamPark venues; and
- Meet DreamPark’s technical, safety, and quality acceptance standards as published from time to time.
DreamPark reserves the right, in its sole discretion, to reject, remove, or require modification of any Title that does not meet these standards.
5. Revenue Sharing
If a Title you develop is accepted and distributed on the DreamPark Platform, revenue sharing is governed by a separate Revenue Sharing Agreement to be executed between you and DreamPark. The economic terms, payment cadence, and audit rights are summarized in our published Developer Revenue Sharing page and codified in the Revenue Sharing Agreement. This SDK Use Agreement alone does not entitle you to any payment or guaranteed distribution.
6. Application Process
Acceptance into the Developer Program is at DreamPark’s sole discretion. We may evaluate applications based on experience, portfolio, intended use, geographic considerations, and platform capacity. We may approve, deny, defer, or condition acceptance, and we may revoke access at any time consistent with Section 9 (Termination).
7. Privacy
Information you submit through this application — including your name, contact details, studio information, and survey responses — is processed in accordance with DreamPark’s Privacy Policy. We use it to evaluate your application, communicate with you about the program, and operate the Platform.
8. Updates and Support
DreamPark may update the SDK at any time. You are responsible for keeping your Titles compatible with current SDK and Quest OS versions as published. DreamPark provides best-effort developer support but makes no commitment to specific support service levels under this Agreement.
9. Term and Termination
This Agreement begins when you accept it and continues until terminated. Either party may terminate this Agreement at any time, for any reason, on written notice. DreamPark may suspend or terminate your access immediately if you breach this Agreement, misuse the SDK, or engage in conduct harmful to the Platform or its users. Upon termination, you must cease all use of the SDK and destroy any copies in your possession. Sections 2 (Restrictions), 3 (Intellectual Property), 10 (Warranty Disclaimer), 11 (Limitation of Liability), and 13 (General) survive termination.
10. Warranty Disclaimer
THE SDK IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. DREAMPARK DOES NOT WARRANT THAT THE SDK WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DREAMPARK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SDK, REGARDLESS OF THE THEORY OF LIABILITY. DREAMPARK’S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to defend, indemnify, and hold harmless DreamPark and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your Developer Content, your Titles, your misuse of the SDK, or your breach of this Agreement.
13. General
This Agreement is governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute will be resolved exclusively in the state or federal courts located in San Francisco, California. If any provision of this Agreement is found unenforceable, the remainder will remain in effect. This Agreement constitutes the entire agreement between the parties regarding the SDK and supersedes all prior agreements on that subject. We may modify this Agreement from time to time; material changes will be communicated by email or via the Platform, and continued use after the effective date constitutes acceptance.
